Biography
Riley Floyd helps clients navigate their most difficult and sensitive problems. A skilled litigator, Riley is often engaged after a dispute has already arisen. He has tried multiple cases, including two highly publicized Indiana attorney discipline proceedings and, most recently, a multi-week arbitration. At times Riley has been engaged to assist a client in avoiding a public dispute, where the representation itself may remain publicly unknown. His clients include Am Law 100 and 150 law firms, Fortune 500 companies, executives, and prominent individuals.
Riley also represents businesses and individuals in so-called “white collar” matters, including in investigations and, if necessary, in criminal proceedings involving federal charges for alleged crimes such as wire fraud, mail fraud, securities fraud, and false statements to federal agents.

- Trial counsel to registered representatives adverse to publicly traded financial services firm in multi-week FINRA arbitration involving allegations of corporate “raiding” and other related business torts
- Counsel to financial advisory firm in federal proceedings adverse to publicly traded company alleging various business torts
- Represented global pharmaceutical company in various supplier disputes
- Represented global convenience store brand in multiple real estate disputes
- Represented publicly traded company in contract dispute adverse to subcontractors
- Represented professional motorsport driver in dispute adverse to racing team
- Represented hospital system in dispute concerning physician compensation metrics
- SG Equipment Finance USA Corp., v. Kimball Electronics, Inc. v. Ariba, Inc., United States District Court for the Eastern District of Pennsylvania, Case No. 2:20-cv-06005-JCJ. Represented electronics manufacturing contractor in dispute related to complex cloud services for component procurement.
- Represented supplier in federal lawsuit alleging nearly $300 million of liability stemming from alleged product diversion and arbitrage
- Represented publicly traded company in defense of claim brought by then-Fortune 150 company
- Represented real estate developers in defense of alleged business torts and litigation of accompanying counter- and cross-claims arising out of $30+ million construction project
- Represented international trade organization in commerce clause litigation adverse to State of Indiana, including on appeal to the United States Court of Appeals for the Seventh Circuit
- Represented stakeholder and defended against state and federal suits alleging securities fraud in connection with restructuring and sale of business
- Represented LLC member in arbitration proceedings relating to member buy-out
- Represented former president of closely-held corporation in dispute following corporate sale, including in parallel, federal declaratory judgment action concerning D&O insurance coverage

- Represented attorney in nationally reported disciplinary action involving Rule 1.7 charge arising from relationship with client’s spouse; hearing officer’s report of no misconduct affirmed by unanimous Indiana Supreme Court
- Represented attorney in highly publicized disciplinary action involving the reporting of suspected child abuse in a school setting, handling of contraband as evidence, the tension between Rule 1.6 confidentiality duties and providing information to law enforcement, as well as public policy concerning the use of confidentiality agreements
- Represented former federal official in response to disciplinary referral; no disciplinary proceeding initiated
White Collar Investigations and Defense
- Represented subject of federal investigation throughout federal grand jury proceedings; no charges filed
- Represented multiple entities responding to federal civil investigative demands; no further action taken
- Represented multiple companies and individuals responding to federal grand jury subpoenas
- Represented business owner during state tax audit during pendency of criminal tax prosecution in neighboring state; no further action taken and no further criminal charges filed
- Represented executive in federal criminal proceedings arising out of corporate sale; client’s sentencing exposure reduced from life imprisonment to 24 months
- Represented executive in SEC enforcement action parallel to federal criminal proceedings
